Western Montana Photos, LLC

Effective Date: May 15, 2026

This Licensing & Usage Rights Agreement (“Agreement”) outlines how photographs created by Western Montana Photos, LLC (“Photographer”) may be used by the client (“Client”). By booking services, purchasing prints, or downloading digital files, the Client agrees to the terms set forth herein.

1. Copyright Ownership

All photographs, images, and media created by Western Montana Photos, LLC are the exclusive intellectual property of the Photographer and are protected under U.S. Copyright Law (17 U.S.C. § 101 et seq.).

• The Client receives usage rights (a limited license), not ownership of the copyright.
• Western Montana Photos, LLC retains full copyright unless otherwise agreed in writing.

2. License Granted to Client

Licensing rights take effect only upon receipt of full payment. The Client is granted a limited, non-exclusive, non-transferable license to use the delivered images as specified below:

A. Personal Use License (if applicable)

Includes:

• Personal printing
• Social media sharing
• Personal archiving
• Non-commercial personal use

Does NOT include:

• Commercial advertising
• Business promotion
• Resale
• Transfer to third parties

B. Commercial Use License (if applicable)

Scope of commercial use (to be specified):

Commercial Use Description: _______________________________________________

Includes:

• Business websites
• Social media
• Advertising
• Print marketing
• Real estate listings
• Business profiles

Does NOT include:

• Resale of images
• Transfer to other businesses, agents, or vendors
• Use in paid products (e.g., merchandise) without extended licensing

C. Real Estate & Property Media License

Real estate clients receive a limited commercial license for MLS listings, rental platforms, and property marketing.

• Payment Requirement: Images may not be uploaded to MLS or rental platforms prior to full payment.
• Transfer Restriction: Images may not be transferred to other agents, brokerages, sellers, or contractors without permission.

3. Restrictions on Use

The Client may NOT:

• Sell or sublicense images
• Transfer usage rights to third parties
• Use images for commercial resale
• Claim authorship of the images
• Apply heavy filters, presets, or edits that significantly alter the Photographer’s style
• Remove watermarks or branding (if present)

Third parties (brands, magazines, vendors, realtors, etc.) must obtain their own license from the Photographer.

4. Photographer Usage Rights

Unless otherwise agreed in writing, Western Montana Photos, LLC may use images for portfolio display, website galleries, social media, advertising, print samples, and promotional materials.

Clients may request a written no-share agreement prior to the session.

5. Model Release

By booking a session, the Client grants permission for Western Montana Photos, LLC to use their likeness in promotional materials unless a written opt-out is provided. For minors, a parent or legal guardian must sign the release.

6. Editing & Retouching

All editing and retouching is performed at the Photographer’s discretion. Clients may request additional professional edits, but may not apply heavy filters or alter the images in a way that misrepresents the Photographer’s work.

7. Delivery & Archiving

Final edited images are delivered digitally via online gallery.

• Download Window: Digital files will remain available for download for 60 days from the delivery date.
• Backup Responsibility: Western Montana Photos, LLC does not guarantee permanent archiving. Clients are responsible for downloading and backing up their files within the 60-day window.

8. Extended Licensing

If the Client requires expanded usage rights (e.g., national advertising, product packaging, resale rights), extended licensing is available for an additional fee.

9. Violation of Terms

Unauthorized use of images may result in additional licensing fees, immediate revocation of usage rights, and legal action under federal copyright law.

10. Governing Law

This Agreement is governed by the laws of the State of Montana. Any disputes shall be resolved through good-faith negotiation or arbitration within Montana.
